As we do many early stage deals, we sometimes run into a situation where our investment would be the first venture financing in the career of a young entrepreneur. In such situations, its critically important for the entrepreneur to retain good legal counsel, so he can see through all the VC lingo and make sure he fully understands all key points.

I just came across this site since the company sent me a free copy of their Private Equity handbook, and I have no idea how the lawyers make it into the list…so there may well be placement $$ involved here, but a quick check for Germany showed reasonable results….so while certainly being far from comprehensive, this could be a valuable starting point to find a good lawyer.
Along the same lines, I usually point people to the National Venture Capital Association’s model legal docs collection when giving out a term sheet to someone who’s still inexperienced with the VC world…while you always have to keep in mind that terms are somewhat different for every deal setup, it gives you a feeling for at least the major do’s and don’t in term sheets.
